TERMS AND CONDITIONS OF SALE

General Sales Terms and Conditions Marthe Dumortier NV

1. Scope

These general sales terms and conditions apply to all agreements, quotations, and deliveries between Marthe Dumortier NV (hereinafter referred to as "Seller") and the buyer, unless otherwise agreed upon in writing.

2. Quotations and Orders

2.1. All quotations from the Seller are non-binding unless expressly stated otherwise. 

2.2. An agreement is concluded at the moment when the Seller provides a written confirmation of the order or when the delivery commences.

3. Prices and Payment

3.1. All prices are exclusive of VAT and other levies, unless otherwise stated. 

3.2. Payment is to be made within 30 days of the invoice date, unless otherwise agreed upon in writing. 

3.3. In case of non-timely payment, the buyer is automatically in default, and the Seller is entitled to charge statutory interest and any collection costs.

4. Delivery and Transfer of Ownership

4.1. Delivery times are indicative and are only approximate. 

4.2. Ownership of the delivered goods only transfers to the buyer upon full payment of the purchase price and any additional costs.

5. Warranty and Complaints

5.1. The Seller guarantees that the delivered goods meet the agreed specifications and are free from defects. 

5.2. Complaints about delivered goods must be reported in writing within 7 days of receipt. 

5.3. In the case of valid complaints, the Seller has the option to repair the defective goods, replace them, or refund the purchase price in whole or in part.

6. Liability

6.1. The liability of the Seller is limited to direct damages and in no event exceeds the invoice amount of the relevant delivery. 

6.2. The Seller is not liable for indirect damages, consequential damages, loss of profit, loss of data, or other immaterial damages.

7. Force Majeure

7.1. The Seller is not liable for delays or failures due to force majeure, such as natural disasters, strikes, or other unforeseen circumstances.

8. Applicable Law and Dispute Resolution

8.1. Belgian law applies to all agreements between the Seller and the buyer. 

8.2. Disputes shall be submitted to the competent court in Antwerpen.

9. Changes to the Conditions

9.1. The Seller reserves the right to amend these general sales terms and conditions. Amended terms apply to new agreements and orders.
